| CANADA’S GOT CHEEZ WHIZ PERSONALITY CONTEST Official Rules VOTING FOR CANADA’S GOT CHEEZ WHIZ PERSONALITY CONTEST Voting for the best Canada’s Got Cheez Whiz Personality submission starts 12:01 a.m. ET December 1, 2009 through 11:59 p.m. ET, December 8, 2009 (“Voting Period”). Voting is unlimited. At the end of the Voting Period, the entry with the most votes will be the potential winner. In the event of a tie, the entry that received the highest number of votes first will be the potential winner. At its sole discretion, Kraft has the right to disqualify any votes that it deems to be fraudulent, or any votes that have been submitted by any means contrary to the Official Rules which would be unfair to other Entrants. Potential winner will be notified by phone no later than December 15, 2009. CONTEST PERIOD: This contest begins 12:01 a.m. (ET) on October 21, 2009 and closes 11:59 p.m. (ET) on November 30, 2009 , the CONTEST CLOSING DATE. HOW TO ENTER: NO PURCHASE NECESSARY. Unlimited entries per person. Each entry must be different than any previously entered submissions. Although the Entrant may submit more than one entry, votes will attach to the individual video entry only, not to the Entrant. a)ON-LINE: Log on to www.cheezwhiz.ca and follow the on-screen instructions to enter. You must submit a video depicting yourself singing the Cheez Whiz jingle . Videos may be submitted by recording to the website in real time via webcam video capture or upload to www.cheezwhiz.ca. The video must be a maximum of 45 seconds in length, and the maximum video size accepted is 500 mb, Standard Definition, MAX 345,600 sq pixels per frame (ie. less than 720 x 480) . Once complete click “Submit” and you will be automatically entered into the contest. b)MALL TOUR: Entrants may attend specific malls at the locations, dates, and times listed on the www.cheezwhiz.ca website. On arrival at the Cheez Whiz booth, Entrant must provide the same information as on-line Entrants. Entrant will then have the opportunity to perform the Cheez Whiz jingle at the mall while being video recorded. The Entrant’s video entry will be uploaded to the www.cheezwhiz.ca site by Kraft Canada Inc. (“Sponsor”) or Sponsor’s agency within 24 hours of the performance. Each video must be original, not been previously published or won any other prize/award, not infringe copyright or other intellectual property rights of any other party, and must be suitable for publication (i.e. must not be obscene or indecent, depict violence or discriminating behaviour.) The Sponsor, in its sole discretion, reserves the right to take down any videos it deems offensive. People depicted in the videos should refrain from wearing any clothing items bearing business, designer, or logos, or bearing the name or likeness of a celebrity, living or dead. The Entrant represents and warrants that each individual included in the videos has as of the date of the submission, agreed that Sponsor and their agents can use, exploit, and distribute in any media whatsoever, including without limitation the Internet, now known or hereafter created, worldwide in perpetuity, each individual’s names, likenesses, images, voices, and comments without any further consent or compensation. All videos shall become the property of Sponsor and will not be returned to Entrants. The Entrant irrevocably assigns and transfers to the Sponsor any and all rights, title, and interest in the videos including, without limitation, all copyright. Sponsor shall have the right to edit or modify videos for use in perpetuity. ELIGIBILITY: Contest is open to legal residents of Canada excluding Quebec who are 16 years of age or older as of the Contest Closing Date and who are not professional actors, singers, performers, etc. If a parent or legal guardian wishes to have their child/children under the age of 16 perform in the video with them, the parent or legal guardian is deemed to be the Entrant. Employees of Kraft Canada Inc., and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, (collectively, “Promotion Parties”), and the household members and/or the immediate family of any of the above are not eligible to enter. For the purposes of these contest rules, “immediate family” means husband, wife, spouse, mother, father, brother, sister, son, and/or daughter, whether or not they reside in the same household. If the Potential Winner is 16 or older, but has not reached the age of majority in their province or territory in which he or she resides, the authorization of his or her parent or legal guardian will be required to accept the prize as awarded. JUDGING CRITERIA: Eligible entries will be judged by audience voting. The Entrant that receives the most votes by the close of the voting period is the Potential Winner. In the event of a tie, the Entrant who received the highest number of votes first will be the Potential Winner. The voting period will begin 12:01 a.m. (ET) December 1, 2009 and close 11:59 p.m. (ET) on December 8, 2009. Rules for voting will be uploaded to the www.cheezwhiz.ca site no later than November 23, 2009. Before being declared a Winner, the selected Potential Winner will be required to correctly answer a time-limited mathematical skill-testing question without assistance or mechanical or electronic aid and will be required to sign a standard declaration and release form confirming compliance with the contest Official Rules and acceptance of the prize as awarded. The selected Potential Winner will be notified by phone no later than December 15, 2009 . If Potential Winner cannot be contacted by December 31, 2009 , at Sponsor’s discretion, another Entrant may be selected. ODDS: The chances of being selected depend upon the number of eligible entries received and the number of eligible votes received for the Entrant’s video entry. PRIZE: There will be one (1) first prize consisting of $10,000. DECLARATION AND RELEASE: Potential Winner will be required to execute and return a Declaration and Release within seven (7) days of attempted delivery or prize will be forfeited and may be awarded to an alternate Entrant. The return of any prize/prize notification as undeliverable or noncompliance with the terms of these Official Rules may result in disqualification and at Sponsor’s discretion, selection of an alternate Entrant. LIMITATION OF LIABILITY: By entering contest, Entrant, and their parents/legal guardians, if entrant under the age of majority, accepts and agrees to these Official Rules and the decisions of Sponsor, which shall be final in all matters. By accepting prize, winner, and their parents/legal guardians if Entrant under the age of majority, agrees to hold Promotion Parties, their affiliates, directors, officers, employees and assigns harmless against any and all claims and liability arising out of use or redemption of prize or participation in the contest. Promotion Parties are not responsible for lost or late entries or Declaration and Releases, or for any typographical, or other error in the printing of the offer, administration of the contest, or announcement of the prize, or for technical, hardware, or software malfunctions, computer virus, bugs, tampering, unauthorized intervention, fraud, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this contest, or by any human error which may occur in the processing of the entries in this contest, or any other cause beyond the reasonable control of Sponsor that interferes with the proper conduct of the contest as contemplated by these Official Rules. If, in the Sponsor’s opinion, there is any suspected or actual evidence of tampering with any portion of the contest, or if technical difficulties or any other factor including accident, printing, administrative, or any error of any kind compromises the integrity, administration, or conduct of the contest, the Sponsor reserves the right, to modify, cancel, or suspend this contest without prior notice or obligation. Any attempt to deliberately damage any website or to undermine the legitimate operation of this contest is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Sponsor reserves the right to disqualify a person if he/she enters the contest or tries to do so by any means contrary to these rules or which would be unfair to other entrants or where contest entries or votes are generated by any mechanical or automated means. Entry materials that have been tampered with, reproduced, falsified, or altered are void. In the event a dispute arises as to the identity of a potentially winning online entrant, entries made by internet will be declared made by the name on the online entry form. Currency is in Canadian dollars unless otherwise stipulated. Each prize must be accepted “as is” and may not be exchanged for an amount of money, bartered, sold, raffled, substituted, or transferred, and is non-refundable. The prize will be delivered only to the confirmed winner. Refusal to accept a prize releases the Promotion Parties, as well as their respective directors, officers, and employees, of all responsibility and obligations toward the winner of such prize. In no event shall Sponsor be held to award more prizes that what is mentioned in these rules or to award prizes otherwise than in compliance with these rules. Promotion Parties shall assume no liability whatsoever for any situation in which their inability to act results from an event or situation unforeseeable or beyond their control, including but not limited to force majeure, a strike, lockout, or any other labour dispute at their location or the locations of the businesses whose services are used to hold this event. CONDITIONS OF ENTRY: Acceptance of a prize constitutes permission for the Sponsor, and their agencies to use winners’ names, cities and provinces/territories of residence and likenesses for purposes of advertising and publicity in any and all media now or hereafter known throughout the world in perpetuity, without further compensation, notification, or permission, unless prohibited by law. All information requested by and supplied by each Entrant must be truthful, accurate, and in no way misleading.
